Welcome to Shopthology. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and any content provided by Shopthology ("we," "us," or "our"). 2. Services

Shopthology provides digital marketing services, including but not limited to:

Paid advertising (Google Ads, Facebook Ads, TikTok Ads, etc.)

Media buying and campaign management

Shopify store optimisation (in relation to ad performance)

Reporting and analytics
All services are subject to individual agreements and scope defined during the onboarding process.

3. Client Obligations

You agree to:

Provide accurate and complete information when requested

Grant us access to necessary advertising accounts (Google, Meta, Shopify, etc.)

Maintain compliance with all applicable laws, including data protection laws (e.g., GDPR)

Make timely payments as per our invoicing schedule
Failure to comply may result in suspension or termination of services without refund.

4. Payment Terms
​
All fees are stated in GBP (£) unless otherwise agreed.

Payment is due in advance or upon receipt of invoice, depending on the agreement

Late payments may incur interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998

You remain responsible for ad spend, which is billed directly by the advertising platforms
5. Intellectual Property

All content, strategies, reports, and materials produced by Shopthology remain our intellectual property unless otherwise agreed in writing. We grant clients a non-exclusive, non-transferable licence to use materials solely for their own business use.

6. Performance and Results
​
While we strive to deliver measurable results, we do not guarantee specific outcomes. Advertising results depend on multiple factors outside our control, including competition, market trends, and customer behaviour.

7. Termination
​
Either party may terminate services with 30 days written notice.
We reserve the right to terminate immediately in cases of:

Non-payment

Misuse of services

Breach of these Terms
Upon termination, all outstanding balances are immediately due.

8. Limitation of Liability
​
To the fullest extent permitted by law, Shopthology shall not be liable for:

Loss of profit, revenue, or business opportunity

Indirect, consequential or incidental damages

Platform-related issues or downtime
Our liability for any claim shall not exceed the total amount paid by the client in the last 60 days.

9. Confidentiality

We treat client information as confidential. We will not disclose or share your data with third parties except:

With your explicit consent

To trusted subcontractors under NDA who assist us in delivering the services

10. Governing Law
​
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
